Terms of Service

1. Engagement Agreement & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client") and Net Latticecore Consulting ("Net Latticecore", "we", "our", or "us"), headquartered in Sanchong District, New Taipei City, Taiwan. By accessing our website (net-latticecore.click), requesting a code audit, or contracting our programming consulting services, you agree to be bound by these Terms.

2. Nature of Programming Consulting Services

Net Latticecore provides technical evaluation, static code analysis, architectural advisory, and software refactoring planning services. All recommendations, technical debt reports, and architectural blueprints are professional technical opinions based on empirical analysis of repository artifacts and developer interviews at the time of evaluation.

3. Intellectual Property Rights & Code Confidentiality

All pre-existing intellectual property, source code, data schemas, and proprietary algorithms provided by Client remain the exclusive property of Client. Net Latticecore claims no ownership over Client repositories reviewed during audits. Deliverables generated specifically for Client under an executed Statement of Work (SOW)—including customized refactoring roadmaps, architecture diagrams, and characterization test specifications—become Client property upon receipt of full payment.

4. Client Responsibilities & Safe Access

Client is responsible for granting secure, read-only repository access or sanitized staging environments for analysis purposes. Client acknowledges that production deployments and direct merges into production branches remain under Client's internal release management authority unless explicitly contracted under a paired remediation sprint.

5. Limitation of Liability

To the maximum extent permitted under applicable law, Net Latticecore shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, business interruption, or data loss arising from the implementation of refactoring recommendations. Total aggregate liability for any direct claims shall not exceed the total consulting fees paid by Client under the specific Statement of Work during the three (3) months preceding the event giving rise to liability.

6. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the competent courts of New Taipei City, Taiwan.
